Bazis company (part of RTK-TSOD Group) has closed a deal to acquire a 70% stake in Proto

The leader of the Russian market for dynamic IT infrastructure management software, Bazis (part of RTK-TSOD Group), has closed a deal to acquire a 70% stake in Proto, a developer of the AI-powered observability and operational data analytics platform Proto Observability Platform. The funds have been invested in Proto's capital and will be used for platform development and its integration into the Bazis ecosystem.

What customers get

The main thing in this deal is not the numbers, but what will appear in the products. Proto technologies will be integrated into Bazis' flagship solutions, including directly into the Basis Dynamix platform. Customers will receive predictive analytics of IT infrastructure status and incident forecasting using AI – that is, the ability to learn about a problem before it stops business. For companies that do not yet use Bazis' infrastructure products, independent platform configuration based on Proto technologies is provided.

Why this is important right now

Distributed systems, container environments, and clouds have long outgrown classic monitoring of individual components. Businesses need end-to-end visibility of infrastructure, applications, and related processes in a single loop – this is precisely the task that observability platforms address. The market confirms this: according to various estimates, the volume of the Russian segment of observability platforms ranges from 3 to 15 billion rubles, and demand is growing by an average of 24% per year.

Proven technology, not a startup experiment

Proto is among the TOP-3 key vendors in the field of observability according to the results of the 2025 study by the consulting agency "Tekhnologii Doveriya" ("TeDo"). The Proto team is retained and strengthened, and the company itself becomes a subsidiary of the Bazis group. The total revenue from the implementation of Proto technologies within the vendor's ecosystem, according to the company's estimates, will amount to at least 1 billion rubles over 5 years.

A year and a half head start

The deal is implemented as part of Bazis' M&A strategy and expands the functionality of its product line. The acquisition of a ready-made developer allows the vendor to reduce the time for implementing observability solutions in the ecosystem by a year and a half compared to developing from scratch – and for customers, this means that predictive analytics will appear in their infrastructure significantly earlier.

"This deal will enable the scaling of the asset's technologies within Bazis. Proto has a product that addresses a in-demand infrastructure task, and Bazis has a customer base, expertise, and sales channels that allow it to quickly bring it to a significantly larger scale. Therefore, for us, this is primarily a bet on the future commercialization of the technology. Today, observability and operational data analytics platforms are becoming an important part of modern IT architecture. As distributed systems, container environments, and cloud platforms grow, customers no longer need to monitor individual components; they require end-to-end visibility of infrastructure, applications, and related business processes in a single loop. That is why we consider the acquisition of Proto to be strategically significant for the further development of the Bazis ecosystem. It is also worth noting that the acquisition of the Proto developer allows Bazis to reduce the time for implementing observability solutions in the company's ecosystem by a year and a half compared to developing similar software from scratch independently," comments David Martirosov, CEO of Bazis.

"When choosing a strategic partner, the scale and market position of Bazis were key for us. The company holds leading positions in Russian infrastructure software and is already present in the technological landscape of a large number of major customers. Partnership with such a player allows us to faster realize our vision for Proto's development and scale the product together with one of the leading Russian IT companies," notes Denis Bezkorovainy, CEO and co-founder of Proto.
